Client Responsibilities

As a client, you agree to:

• Respond promptly to project-related communications

• Make timely payments as outlined in project agreements
• Test deliverables and provide feedback within agreed timeframes
• Comply with applicable laws and regulations

Payment Terms

Payment terms are outlined in individual project agreements and typically include:

• Project-based pricing with milestone payments
• Hourly rates for consulting and maintenance services
• Payment due within 15-30 days of invoice
• Late payment fees may apply

All prices are quoted in the currency specified in the project agreement and do not include applicable taxes unless otherwise stated.

Intellectual Property Rights

Client Ownership: Upon full payment, clients own the final deliverables and custom code developed specifically for their project.

DarwinTech Rights: We retain ownership of:

• Pre-existing intellectual property and code libraries
• General tools, methodologies, and processes
• Right to use project work for portfolio and marketing purposes (with client approval)

Third-party licenses and open-source components remain subject to their original licensing terms.

Confidentiality

Both parties agree to maintain confidentiality of:

• Business information, strategies, and processes
• Technical specifications and source code
• Customer data and proprietary information
• Project details and communications

This confidentiality obligation survives the termination of any project agreement.

Warranty and Support

Warranty: We warrant that deliverables will conform to the specifications outlined in the project agreement and will be free from material defects for a period of 90 days after delivery.

Support: Post-launch support services are available as specified in project agreements or separate support contracts.

We are not liable for issues caused by third-party services, client modifications, or factors beyond our control.

Limitation of Liability

To the maximum extent permitted by law, DarwinTech shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services or website. Our total liability for any claim shall not exceed the amount paid for the specific service giving rise to the claim.

Termination

Either party may terminate a project agreement:

• With written notice for material breach
• Upon mutual agreement
• If services become illegal or impossible to perform

Upon termination, clients are responsible for payment for all work completed up to the termination date.

Website Use

You agree not to:

• Use the website for illegal purposes
• Attempt to gain unauthorized access to our systems
• Interfere with the website's operation or security
• Reproduce or redistribute content without permission
• Upload malicious code or harmful content

Dispute Resolution

Any disputes arising from these Terms or our services shall be governed by the laws of India and resolved through good faith negotiations. If negotiations fail, disputes shall be subject to the exclusive jurisdiction of courts in Rajasthan, India.

Indemnification

You agree to indemnify and hold DarwinTech harmless from any claims, damages, or expenses arising from your use of our services, violation of these Terms, or infringement of third-party rights.

Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services constitutes acceptance of any modified Terms.
